New California Entities for 2012

California corporations desiring to promote social, environmental or public benefit purposes have historically had to choose between electing non-profit status, or subverting those ideals to the duty to maximize shareholder value. Effective January 1, 2012, California has two new for-profit corporation subtypes designed to permit the pursuit of both economic and social objectives. By shifting the focus of director and officer duties from maximizing shareholder value/profits to achieving the corporation’s stated purposes, these new entities provide some relief from the threat of shareholder lawsuits.
