Join us for a dynamic panel presentation discussing the drafting and use of risk allocation contract provisions. Too often dismissed by clients as mere ‘boilerplate’, risk allocation provisions comprise some of the most critical aspects of a commercial contract. Provisions such as indemnities, representations and warranties, and limitations of liability, when properly drafted, form a demarcation of exposure between the parties reflecting their bargained-for risk and protection from risk. If not carefully drafted, they have the greatest potential to result in unexpected and even company-ending exposure for clients. Please join us in exploring considerations in drafting these provisions, how they interrelate in allocating risk, and how they may be properly calibrated for your transaction. This program is not an introductory course. Attendees should have general familiarity with the function and nature of these provisions.
