Key Issues in Business & Corporate Law: Types of Businesses

  • Sole Proprietorship
  • A business or financial venture carried on by a sole person and which is not a corporation.
  • Partnership
  • The relationship existing between two or more persons who join to carry on a trade or business. Each person contributes money, property, labor or skill, and expects to share in the profits and losses of the business.
  • Corporation
  • Shareholders exchange money, property or both, for the corporation’s capital stock. A corporation’s liability is limited to its assets, and stockholders are protected against personal liability connections to the affairs of the corporation. The corporation is taxed a special corporate rate, and stockholders pay additional tax upon dividends to profits obtained from the corporation.
  • Limited Liability Company (LLC)
  • Similar to a corporation, owners have limited personal liability for the debts and actions of the LLC.
